StemStack End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("you," the "user") and Badhat Media LLC ("we," "us," "our"), a Colorado limited liability company, governing your use of the StemStack software application ("StemStack" or the "Software").

By downloading, installing, activating, or using StemStack, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1. License grant

Subject to your compliance with this Agreement and your payment of the applicable fee, we grant you a limited, non-exclusive, non-transferable license to install and use StemStack on one (1) Mac computer that you own or control.

Commercial use is permitted. You may use StemStack in the course of your professional work, including on paid client projects, commercial releases, and other for-profit activities.

2. Free trial

StemStack may be offered with a free trial period of three (3) days, beginning when you first launch the Software.

  • During the trial, the Software is fully functional — you have access to all features, subject to the same terms and restrictions in this Agreement as a purchased license.
  • When the trial period ends, the Software's functionality will be disabled until you purchase a license. StemStack will prompt you to purchase a license at that time.
  • The trial does not automatically charge you and does not require payment information to begin. No payment method is collected to start the trial, no payment is taken when the trial ends, and there is no subscription or automatic billing of any kind. When the trial ends, you are simply invited to purchase a license, which you must do separately. You are under no obligation to buy.
  • To enforce the trial period, the Software records when your trial began, using a one-way hardware-derived identifier, and checks the remaining trial time with our servers. See our Privacy Policy for details.
  • The trial is provided on an "as is" basis and is subject to the disclaimers and limitations of liability in this Agreement.
  • We may modify or discontinue the free trial offering at any time. Attempting to circumvent, reset, or extend the trial period beyond its intended term is a breach of this Agreement.

3. What you may not do

You may not:

  • Install or use a single license on more than one Mac, except as expressly permitted by us (for example, when we help you move your license to a new machine);
  • Share, resell, sublicense, rent, lease, or otherwise transfer your license key or the Software to any third party;
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent this restriction is prohibited by applicable law;
  • Circumvent or disable the Software's licensing, activation, or security mechanisms;
  • Use the Software in any unlawful manner or in violation of this Agreement.

4. How StemStack works with Logic Pro and macOS

StemStack automates actions in Logic Pro by using macOS's Accessibility features to control the Logic Pro interface on your behalf (for example, soloing tracks, triggering the bounce dialog, and confirming file names). To function, StemStack requires you to grant it Accessibility permission in macOS System Settings. By granting this permission, you authorize StemStack to control Logic Pro as described. StemStack interacts only with Logic Pro's interface to perform the actions you initiate and does not modify your project files or audio data directly.

5. Ownership

StemStack is licensed to you, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any ownership of the Software.

6. Updates and automatic updates

We may provide updates, bug fixes, or new versions of the Software from time to time. Your purchase includes free updates to the Software for the foreseeable future. We do not guarantee any specific update, feature, or support timeline, and we reserve the right to change our update practices; however, our intention is to provide ongoing updates to purchasers at no additional charge. This Agreement applies to any such updates unless a separate agreement accompanies them.

Automatic updates. StemStack includes an automatic update feature (powered by the Sparkle framework). To check for updates, the Software periodically contacts a remote update feed operated by or on behalf of us, and may download and install updated versions of the Software. This update check involves your device sending limited technical information (such as the current app version and operating system version) to the update server; see our Privacy Policy for details. You may be able to disable automatic update checks in the Software's settings, but we recommend keeping them enabled so you receive important fixes and improvements. Updates delivered through this feature are governed by this Agreement.

7. Refunds

If StemStack is not working for your setup, you may request a full refund within 30 days of purchase by emailing support@stemstackapp.com, as described on our website.

8. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT IT WILL WORK WITH ALL SYSTEM CONFIGURATIONS, MACOS VERSIONS, OR LOGIC PRO VERSIONS.

You are responsible for verifying the output of the Software (including bounced stems and named files) before relying on it for professional delivery, archiving, or any other purpose.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL BADHAT MEDIA LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, WORK PRODUCT, OR AUDIO FILES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

10. Termination

This Agreement and your license remain in effect until terminated. Your license will terminate automatically if you breach this Agreement. Upon termination, you must stop using the Software and delete all copies. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and governing law) will survive.

11. Governing law

This Agreement is governed by the laws of the State of Colorado, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to this Agreement or the Software will be subject to the exclusive jurisdiction of the state and federal courts located in Colorado, and you consent to the personal jurisdiction of those courts.

12. Entire agreement

This Agreement, together with our Privacy Policy and any refund policy published on our website, constitutes the entire agreement between you and us regarding the Software and supersedes any prior agreements.
